About

Everyone ‘breathes’ music at Baton Music. Artistic director Jos van de Braak knows all facets of the music profession. From young clarinet player, student of musicology and conservatory, to experienced conductor, artistic director, mentor of young talent, arranger and programmer. His dedication to quality and musical depth is the foundation of Baton Music. Co-owner and managing director Paul Gofers also grew up with music. He is responsible for everything except the artistic side: the publishing house, the website, orders and customer service.

We specialize in arrangements of classical music for concert band, and our catalogue is the heart of what we do. With almost 1400 publications it is one of the largest and most varied collections of its kind, and it keeps growing. Jos van de Braak, with a team of international arrangers, guarantees this versatility. The arrangements come from many places and find their way all over the world.

The range is wide: arias and overtures, marches, waltzes, solo concertos, small and large orchestral works, and music for Christmas and New Year's concerts. Take a composer, genre or solo instrument as a starting point and put together a nice program. Our catalogue fits every level and every project. Quality is our trademark: every arrangement is made with care and with respect for the original. It strengthens our unique position in the world of wind music, and we are proud of that.

Take your time and ‘stroll around’. And are you unable to resolve it? Feel free to ask for advice, we are happy to help. We are also always open to ideas and to consider producing the arrangement that you think is still missing.

A: Consumers

Article 1 Definitions

In these conditions the following terms have the following meanings:

1. Entrepreneur: the natural person or legal entity offering products and/or services at a distance to consumers;

2. Consumer: the natural person who is not acting in the course of a profession or business and who enters into a distance contract with the entrepreneur;

3. Distance contract: a contract concluded between the entrepreneur and the consumer within the framework of a system organised by the entrepreneur for the distance selling of products and/or services, whereby, up to and including the conclusion of the contract, exclusive use is made of one or more techniques for distance communication;

4. Technique for distance communication: a means that can be used for concluding a contract without the consumer and the entrepreneur having to be in the same room at the same time;

5. Cooling-off period: the period within which the consumer can exercise his right of withdrawal;

6. Right of withdrawal: the consumer's option to cancel the distance contract within the cooling-off period;

7. Day: calendar day;

8. Continuing performance contract: a distance contract relating to a series of products and/or services, the delivery and/or purchase obligation of which is spread over time;

9. Durable medium: any means that enables the consumer or the entrepreneur to store information addressed personally to him in a way that allows future consultation and unaltered reproduction of the stored information.

Article 2 Identity of the entrepreneur

Chamber of Commerce number: 17.09.43.72
VAT identification number: NL 8049.75.383.B01

Article 3 Applicability

1. These general terms and conditions apply to every offer made by the entrepreneur and to every distance contract concluded between the entrepreneur and the consumer.

2. Before the distance contract is concluded, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, it will be indicated, before the distance contract is concluded, that the general terms and conditions can be inspected at the entrepreneur's premises and that they will be sent free of charge as soon as possible at the consumer's request.

3. If the distance contract is concluded electronically, then, notwithstanding the previous paragraph and before the distance contract is concluded, the text of these general terms and conditions may be made available to the consumer electronically in such a way that the consumer can easily store it on a durable medium. If this is not reasonably possible, it will be indicated, before the distance contract is concluded, where the general terms and conditions can be consulted electronically and that they will be sent free of charge, electronically or otherwise, at the consumer's request.

4. If, in addition to these general terms and conditions, specific product or service conditions also apply, the second and third paragraphs apply by analogy, and in the event of conflicting general terms and conditions the consumer can always invoke the applicable provision that is most favourable to him.

Article 4 The offer

1. If an offer has a limited period of validity or is made subject to conditions, this will be explicitly stated in the offer.

2. The offer contains a complete and accurate description of the products and/or services offered. The description is sufficiently detailed to enable the consumer to properly assess the offer. If the entrepreneur uses images, these are a truthful representation of the products and/or services offered. Obvious mistakes or errors in the offer do not bind the entrepreneur.

3. Every offer contains such information that it is clear to the consumer what rights and obligations are attached to acceptance of the offer. This concerns in particular:

  • the price including taxes;
  • any delivery costs;
  • the way in which the contract will be concluded and which actions are required for that;
  • whether or not the right of withdrawal applies;
  • the method of payment, delivery or performance of the contract;
  • the period for acceptance of the offer, or the period for which the price is guaranteed;
  • the rate for distance communication if the costs of using the technique for distance communication are calculated on a basis other than the basic rate;
  • if the contract is archived after its conclusion, how it can be consulted by the consumer;
  • the way in which the consumer, before concluding the contract, can become aware of actions he did not intend, and the way in which he can correct them before the contract is concluded;
  • any languages, other than Dutch, in which the contract can be concluded;
  • the codes of conduct to which the entrepreneur is subject and the way in which the consumer can consult these codes of conduct electronically; and
  • the minimum duration of the distance contract in the case of a contract for the continuous or periodic supply of products or services.

Article 5 The contract

1. Subject to the provisions of paragraph 4, the contract is concluded at the moment the consumer accepts the offer and fulfils the conditions set therein.

2. If the consumer has accepted the offer electronically, the entrepreneur will confirm receipt of the acceptance of the offer electronically without delay. As long as receipt of this acceptance has not been confirmed, the consumer may dissolve the contract.

3. If the contract is concluded electronically, the entrepreneur will take appropriate technical and organisational measures to secure the electronic transfer of data and will ensure a secure web environment. If the consumer can pay electronically, the entrepreneur will observe appropriate security measures for this.

4. Within the limits of the law, the entrepreneur may inform himself whether the consumer is able to meet his payment obligations, as well as of all those facts and factors that are important for responsibly entering into the distance contract. If, on the basis of this investigation, the entrepreneur has good grounds not to enter into the contract, he is entitled to refuse an order or request with reasons, or to attach special conditions to its performance.

5. The entrepreneur will send the following information to the consumer with the product or service, in writing or in such a way that the consumer can store it in an accessible manner on a durable medium:

  • a. the visiting address of the entrepreneur's establishment where the consumer can submit complaints;
  • b. the conditions under and the manner in which the consumer can exercise the right of withdrawal, or a clear notice that the right of withdrawal is excluded;
  • c. the information about existing after-sales service and guarantees;
  • d. the information referred to in article 4 paragraph 3 of these conditions, unless the entrepreneur has already provided this information to the consumer before performance of the contract;
  • e. the requirements for termination of the contract if the contract has a duration of more than one year or is of indefinite duration.

6. If the entrepreneur has committed himself to supplying a series of products or services, the provision in the previous paragraph applies only to the first delivery.

Article 6a Right of withdrawal when products are delivered

1. When purchasing products, the consumer has the option of dissolving the contract without giving reasons during 14 days. This period starts on the day after receipt of the product by or on behalf of the consumer.

2. During this period the consumer will handle the product and the packaging with care. He will only unpack or use the product to the extent necessary to assess whether he wishes to keep it. If he exercises his right of withdrawal, he will return the product to the entrepreneur with all accessories supplied and, if reasonably possible, in its original condition and packaging, in accordance with the reasonable and clear instructions provided by the entrepreneur.

Article 6b Right of withdrawal when services are delivered

1. When services are delivered, the consumer has the option of dissolving the contract without giving reasons during seven working days, starting on the day the contract is entered into.

2. To exercise his right of withdrawal, the consumer will follow the reasonable and clear instructions provided by the entrepreneur with the offer and/or, at the latest, upon delivery.

Article 7 Costs in case of withdrawal

1. If the consumer exercises his right of withdrawal, at most the costs of returning the goods are at his expense.

2. If the consumer has paid an amount, the entrepreneur will refund this amount as soon as possible, but no later than within 30 days after the return or withdrawal.

Article 8 Exclusion of the right of withdrawal

1. If the consumer does not have a right of withdrawal, this can only be excluded by the entrepreneur if he has clearly stated this in the offer, or at least in good time before the contract is concluded.

2. Exclusion of the right of withdrawal is only possible for products:

  • a. that have been made by the entrepreneur in accordance with the consumer's specifications;
  • b. that are clearly personal in nature;
  • c. that by their nature cannot be returned;
  • d. that can spoil or age quickly;
  • e. the price of which is tied to fluctuations in the financial market over which the entrepreneur has no influence;
  • f. for single newspapers and magazines;
  • g. for audio and video recordings and computer software of which the consumer has broken the seal.

3. Exclusion of the right of withdrawal is only possible for services:

  • a. relating to accommodation, transport, catering or leisure activities to be performed on a specific date or during a specific period;
  • b. the delivery of which has begun with the consumer's express consent before the cooling-off period has expired;
  • c. relating to betting and lotteries.

Article 9 The price

1. During the period of validity stated in the offer, the prices of the products and/or services offered will not be increased, except for price changes resulting from changes in VAT rates.

2. Notwithstanding the previous paragraph, the entrepreneur may offer products or services whose prices are tied to fluctuations in the financial market and over which the entrepreneur has no influence, at variable prices. This dependence on fluctuations and the fact that any prices stated are target prices will be stated in the offer.

3. Price increases within 3 months after the conclusion of the contract are only permitted if they are the result of statutory regulations or provisions.

4. Price increases from 3 months after the conclusion of the contract are only permitted if the entrepreneur has stipulated this and:

  • a. they are the result of statutory regulations or provisions; or
  • b. the consumer has the right to terminate the contract with effect from the day on which the price increase takes effect.

5. The prices stated in the offer of products or services include VAT.

Article 10 Conformity and warranty

1. The entrepreneur warrants that the products and/or services comply with the contract, the specifications stated in the offer, the reasonable requirements of soundness and/or usability, and the statutory provisions and/or government regulations existing on the date the contract was concluded.

2. A warranty arrangement offered by the entrepreneur, manufacturer or importer does not affect the rights and claims that the consumer can assert against the entrepreneur on the basis of the law and/or the distance contract in respect of a failure to perform the entrepreneur's obligations.

Article 11 Delivery and performance

1. The entrepreneur will observe the greatest possible care when receiving and performing orders for products and when assessing requests for the provision of services.

2. The place of delivery is the address that the consumer has made known to the company.

3. Subject to what is stated in article 4 of these general terms and conditions, the company will perform accepted orders with due speed but at the latest within 30 days, unless a longer delivery period has been agreed. If delivery is delayed, or if an order cannot be performed or can only be performed in part, the consumer will be notified of this at the latest one month after he placed the order. In that case the consumer has the right to dissolve the contract at no cost and is entitled to any compensation.

4. In the event of dissolution in accordance with the previous paragraph, the entrepreneur will refund the amount the consumer has paid as soon as possible, but no later than within 30 days after dissolution.

5. If delivery of an ordered product proves impossible, the entrepreneur will endeavour to make a replacement article available. At the latest upon delivery it will be stated in a clear and comprehensible manner that a replacement article is being delivered. For replacement articles the right of withdrawal cannot be excluded. The costs of return shipment are at the entrepreneur's expense.

6. The risk of damage and/or loss of products rests with the entrepreneur until the moment of delivery to the consumer, unless expressly agreed otherwise.

Article 12 Continuing performance contracts

1. The consumer may terminate a contract entered into for an indefinite period at any time, observing the agreed termination rules and a notice period of at most one month.

2. A contract entered into for a definite period has a term of at most two years. If it has been agreed that the distance contract will be extended if the consumer does not respond, the contract will be continued as a contract for an indefinite period and the notice period after continuation of the contract will be at most one month.

Article 13 Payment

1. Unless agreed otherwise at a later time, the amounts owed by the consumer must be paid within fourteen days after delivery of the goods or, in the case of a contract for the provision of a service, within 14 days after issue of the documents relating to that contract.

2. In the sale of products to consumers, general terms and conditions may never stipulate an advance payment of more than 50%. If advance payment has been stipulated, the consumer cannot assert any rights regarding the performance of the order or service(s) concerned before the stipulated advance payment has been made.

3. The consumer has the duty to report inaccuracies in the payment details provided or stated to the entrepreneur without delay.

4. In the event of non-payment by the consumer, the entrepreneur has, subject to statutory limitations, the right to charge the reasonable costs that were made known to the consumer in advance.

Article 14 Intellectual property

1. The copyright and any other intellectual property rights in sheet music, equipment, software or documentation remain the property of Baton Music or its suppliers. The other party obtains at most a right of use.

2. Under the Copyright Act it is expressly not permitted to copy sheet music without the permission of the rights holders.

3. In the case of Lease & Send Back, Baton Music will strictly ensure that the sheet music lent for a fee is returned to Baton Music without having been copied or otherwise reproduced.

4. In the context of Lease & Send Back, Baton Music will strictly ensure that the sheet music lent for a fee is not performed in public more often than is stated in the agreement intended for that purpose.

5. For each separate year the consumer keeps records, to the best of his ability, of when, where, by whom and how often the works to which this agreement relates are performed, in so-called playlists (cue sheets).

6. At the request of Baton Music, the consumer will send Baton Music the playlists (cue sheets) containing works to which this agreement relates.

Article 15 Complaints procedure

1. The entrepreneur has a sufficiently well-publicised complaints procedure and handles the complaint in accordance with this complaints procedure.

2. Complaints about the performance of the contract must be submitted to the entrepreneur within a reasonable time, fully and clearly described, after the consumer has discovered the defects.

3. Complaints submitted to the entrepreneur will be answered within 14 days from the date of receipt. If a complaint foreseeably requires a longer processing time, the entrepreneur will answer within 14 days with a confirmation of receipt and an indication of when the consumer can expect a more detailed answer.

Article 16 Additional or deviating provisions

Additional provisions, or provisions deviating from these general terms and conditions, may not be to the consumer's disadvantage and must be recorded in writing or in such a way that the consumer can store them in an accessible manner on a durable medium.

Article 17 Amendment of the general terms and conditions

1. Baton Music reserves the right to amend these general terms and conditions or to bring them into line with the laws and regulations in force at that time.

2. Amendments to these conditions only take effect after they have been published in an appropriate manner, on the understanding that, in the case of relevant amendments during the term of an offer, the provision most favourable to the consumer will prevail.

Article 18 Partial invalidity

Should parts of these conditions be null and void, annulled or otherwise invalid, the remaining (parts of the) provisions will continue to apply in full. The remaining conditions must then be read and interpreted in such a way that the purport of the conditions, and in particular of the invalid parts, is achieved.

Article 19 Expiry period

Unless otherwise provided in these general terms and conditions, claims and other powers of interested parties, on whatever ground, against Baton Music in connection with the performance of work by Baton Music lapse in any case one year (twelve months) after the moment at which the interested parties became aware, or could reasonably have become aware, of the existence of these rights and powers.

Article 20 Language

The Dutch text of these general terms and conditions is decisive for their interpretation.

Article 21 Applicable law and choice of forum

1. Only Dutch law applies. The Vienna Sales Convention is expressly excluded.

2. Disputes will be settled exclusively by the competent court in the district where Baton Music is established. Baton Music also has the right to bring the matter before the competent court of the consumer's place of residence or establishment.

B: Businesses and Government Bodies

Article 1. Applicability of these conditions

1. These conditions apply to every offer and every contract or legal relationship between Baton Music and a (potential) buyer, insofar as the parties have not expressly and in writing deviated from these conditions, and to the exclusion of any general terms and conditions of the other party.

2. These conditions also apply to all contracts with Baton Music in the performance of which third parties must be involved.

3. Where these conditions refer to written requirements, this also includes e-mail.

Article 2. Quotations / Contracts

1. All offers made by Baton Music are non-binding and are an invitation to order. Prices stated on the website are subject to typing errors.

2. A contract is only concluded after an order or assignment has been confirmed by Baton Music in writing or by some other sign of acceptance. Additions, amendments and further agreements regarding orders and assignments placed only apply if they have been confirmed in writing by Baton Music.

3. Baton Music has the right at all times to revoke the contract (order) up to 10 days after the assignment was concluded, without giving reasons.

4. In the case of a composite price quotation, Baton Music is under no obligation to deliver part of the goods included in the offer for a corresponding part of the stated price, nor does Baton Music's offer automatically apply to repeat orders.

5. When several customers are party to a contract, they are all jointly and severally bound to perform the obligations towards Baton Music.

Article 3. Delivery

1. Unless agreed otherwise, delivery is ex works/ex premises.

2. The other party is obliged to take delivery of the purchased goods at the moment they are made available to him. The moment of making available is the end of the period within which the goods can be collected or, if transport or shipment by Baton Music has been agreed, the moment (at Baton Music's choice) at which Baton Music offers the goods at the agreed address.

3. If the other party does not take delivery from Baton Music at the moment of making available, refuses delivery, or is negligent in providing information or instructions necessary for delivery, the goods will be stored at the expense and risk of the other party and/or, if transport or shipment by Baton Music has been agreed, transported or shipped again at the other party's expense.

4. If the other party continues to refuse delivery for a period of 14 days, Baton Music is entitled to dissolve the contract, whereby the other party, notwithstanding paragraph 2 of the article "Dissolution", remains liable for 100% of the transaction value, plus interest and costs thereon, without prejudice to the right to compensation for actual or higher damage.

Article 4. Right of withdrawal (cancellation)

1. After the conclusion of the contract and up to 14 days after receipt of the goods, the buyer has the right to cancel the order, although Baton Music may at all times attach conditions to that cancellation at its own discretion.

2. The conditions that Baton Music imposes on cancellation after shipment of the ordered goods are at least (without prejudice to the right to impose more and other conditions):

  • The goods must be returned complete, undamaged and unused, including accompanying documentation and warranty certificates and including a copy of Baton Music's invoice.
  • The return shipment is at all times made by and at the expense and risk of the buyer. If the buyer wishes to return the goods in person to Baton Music's visiting address, the buyer must first make an appointment.

3. Costs and damages incurred by Baton Music in connection with the cancellation will in any case be charged.

4. The right of cancellation does not apply in the case of:

  • Software, image or sound carriers or computer programs of which the seal has been broken;
  • Products ordered or assembled especially for you;
  • While-stocks-last products;
  • Products for which Baton Music expressly states that the right does not apply.

Article 5. Delivery time

1. Delivery times stated by Baton Music are always approximate and are never strict deadlines.

2. In the event of late or incorrect delivery, the other party must give Baton Music written notice of default.

3. The delivery time stated by Baton Music only starts once all necessary information is in its possession.

4. Baton Music is permitted to deliver sold goods in parts. This does not apply if a partial delivery has no independent value. If the goods are delivered in parts, Baton Music is entitled to invoice each part separately.

Article 6. Technical requirements etc.

1. If goods to be delivered in the Netherlands are used outside the Netherlands, Baton Music is not responsible for the goods to be delivered meeting the technical requirements, standards and/or regulations imposed by the laws or provisions of the country where the goods are used. This does not apply if Baton Music, when concluding the contract, has unreservedly confirmed the suitability for use in the country concerned.

2. All other technical requirements that the other party imposes on the goods to be delivered and that deviate from the normally applicable requirements must be expressly notified by the other party when the purchase contract is concluded.

Article 7. Samples, models and examples

If Baton Music has shown or provided a model, sample or example, this is presumed to have been shown or provided merely by way of indication. The qualities of the goods to be delivered may deviate from the sample, model or example, unless it was expressly stated that delivery would be in accordance with the sample, model or example shown or provided.

Article 8. Dissolution

1. A contract may in any case be dissolved by Baton Music immediately, without further notice of default, in the following cases:

  • if the other party does not correctly fulfil its obligations;
  • if, after the conclusion of the contract, circumstances come to the knowledge of Baton Music that give Baton Music good grounds to fear that the other party will not fulfil its obligations;
  • if Baton Music has asked the other party, at or after the conclusion of the contract, to provide security for performance and this security is not forthcoming or is insufficient despite a demand.
  • in the cases mentioned, Baton Music is entitled to suspend further performance of the contract or to dissolve the contract, all without prejudice to Baton Music's right to claim damages.

2. In the event of dissolution by Baton Music, the other party is liable to Baton Music for damages, the damage being set at no less than 30% of the transaction value, plus interest and costs thereon, without prejudice to Baton Music's right to claim higher or actual damages.

Article 9. Warranty

1. The other party only has a right to warranty towards Baton Music if and insofar as a warranty is (still) granted to Baton Music by Baton Music's supplier or the manufacturer, except insofar as mandatory statutory provisions prescribe a more extensive warranty. Baton Music is not bound to any further warranty or liability.

2. The other party only has a right to warranty towards Baton Music if the other party has met all payment obligations towards Baton Music.

3. Every warranty obligation lapses if the other party itself makes or has made changes or repairs to the delivered goods, or in the case of damage that is not the result of normal use.

Article 10. Retention of title

1. All goods delivered by Baton Music remain the property of Baton Music until the other party has fulfilled all obligations under all contracts concluded with Baton Music.

2. Goods delivered by Baton Music that fall under retention of title pursuant to paragraph 1 may only be used in the ordinary course of business.

3. The other party is not entitled to pledge goods subject to retention of title, nor to encumber or alienate them in any other way.

4. The other party hereby already gives Baton Music, or a third party to be designated by it, unconditional and irrevocable permission, in all cases in which Baton Music wishes to exercise its property rights, to enter all places where Baton Music's property is then located and to take those goods away from there.

5. If third parties seize goods delivered under retention of title or wish to establish or assert rights over them, the other party is obliged to inform Baton Music of this as soon as can reasonably be expected.

6. The other party undertakes to insure the goods delivered under retention of title, and to keep them insured, against fire, explosion and water damage as well as theft, and to show the policy of this insurance on first request.

Article 11. Defects, complaint periods

1. The other party must have the purchased goods inspected upon delivery or at the latest within 3 working days thereafter. In doing so the other party must in any case check whether what has been delivered corresponds to the contract, namely:

  • whether the right goods have been delivered;
  • whether the delivered goods correspond to what was agreed in terms of quantity (for example the amount and the number);
  • whether the delivered goods meet the agreed quality requirements or, if these are lacking, the requirements that may be set for normal use and/or commercial purposes.

2. If visible defects or shortages are found, the other party must report them to Baton Music in writing within 3 working days after delivery. After these 3 working days have passed, Baton Music is deemed to have delivered correctly.

3. Even if the other party complains in good time, its obligation to pay for and take delivery of orders placed remains unaffected. As long as the full payment obligation has not been met, Baton Music will not handle complaints. When handling a complaint, pending the question whether the complaint is justified, Baton Music always has the right to demand additional security or payment, whether or not into the third-party account of a lawyer or notary to be designated by Baton Music, before handling a complaint.

4. Unless expressly agreed otherwise in writing, in the event of a complaint about an item the other party must return that item to Baton Music for assessment and repair. Assessment and repair by Baton Music do not take place at the customer's premises.

5. Goods may only be returned to Baton Music after prior written permission.

6. The other party must itself take care of the actual return, at its own expense and risk.

Article 12. Intellectual property

5. For each separate year the buyer keeps records, to the best of his ability, of when, where, by whom and how often the works to which this agreement relates are performed, in so-called playlists (cue sheets).

6. At the request of Baton Music, the buyer will send Baton Music the playlists (cue sheets) containing works to which this agreement relates.

Article 13. Price / Price increase

1. Unless expressly stated otherwise, the prices issued by Baton Music apply only to the products themselves and are:

  • in euros
  • exclusive of VAT
  • exclusive of shipping or transport costs
  • ex works/ex premises

2. Prices stated on the website are subject to typing errors or (not yet implemented) price changes.

3. If Baton Music agrees a certain price with the other party, Baton Music is nevertheless entitled to increase the price if Baton Music can show that, between the moment of the offer and delivery, significant changes have occurred in the prices of raw materials, currencies and/or wages.

4. If the price increase amounts to more than 10%, the other party has the right to dissolve the contract, without any right to compensation from Baton Music.

Article 14. Payment

1. Unless expressly agreed otherwise, advance payment applies, but in any case a payment term of 14 days after the invoice date, in a manner to be indicated by Baton Music and in the currency in which the invoice was issued.

2. Baton Music has the right at all times to demand (still) advance payment or to have the other party provide security for payment, which must be met immediately.

3. After 14 days have passed since the invoice date, the other party is in default by operation of law; from the moment of default the other party owes interest of 1% per month on the amount due, unless the statutory (commercial) interest is higher, in which case the statutory (commercial) interest applies.

4. If the other party is in default, all actual costs of obtaining payment out of court are at the other party's expense, but at least at the (fixed) amount estimated in accordance with the Voorwerk II Report.

5. In the event of liquidation, bankruptcy or suspension of payment of the other party, Baton Music's claims and the other party's obligations towards Baton Music will be immediately due and payable to Baton Music.

6. Payment must be made without discount or set-off and without the other party having the right to conservatory attachment against Baton Music.

7. Payments made by the other party always serve first to settle all interest and costs due, and second the due invoices that have been outstanding longest, even if the other party states that the payment relates to a later invoice.

Article 15. Liability

1. Baton Music is liable towards the other party only for damage caused by intent or gross negligence of Baton Music or its subordinates. For damage resulting from defects in delivered goods, only the liability as regulated in the article "Warranty" of these conditions applies.

2. Baton Music's liability is at all times limited to the amount that any insurer of Baton Music pays out to Baton Music in the case concerned.

3. If the insurance in any case does not provide cover or does not pay out, and Baton Music is liable, Baton Music's liability is limited to at most the invoice value of the transaction, or at least that part of the transaction to which the liability relates.

4. In no case is Baton Music liable for indirect damage, including consequential damage.

5. The other party indemnifies Baton Music against claims by third parties.

Article 16. Force majeure

1. Force majeure means, in addition to what is understood by it in law and case law, all external causes, foreseen or unforeseen, over which Baton Music has no influence but as a result of which Baton Music is unable to fulfil its obligations, including delays in delivery by Baton Music's suppliers and strikes at Baton Music's company.

2. During force majeure, Baton Music's delivery and other obligations are suspended. During force majeure Baton Music always has the right to dissolve the contract, without Baton Music in that case being under any obligation to pay damages.

3. If the force majeure situation lasts longer than 4 months after the time at which Baton Music should have fulfilled its obligations, the other party, subject to article 5 paragraph 2, has the right to dissolve the contract, without any obligation to pay damages arising in that case.

4. If Baton Music has already partly fulfilled its obligations when force majeure occurs, or can only partly fulfil its obligations, it is entitled to invoice the part already delivered or deliverable separately, and the other party is obliged to pay this invoice as if it concerned a separate contract. However, this does not apply if the part already delivered or deliverable has no independent value.

Article 17. Expiry period

Article 18. Partial invalidity

Should parts of these conditions be null and void, annulled or otherwise invalid, the remaining (parts of the) provisions will continue to apply in full. The remaining conditions must then be read and interpreted in such a way that the purport of the conditions, and in particular of the invalid parts, is achieved.

Article 19. Amendment of the general terms and conditions

Article 20. Language

The Dutch text of these general terms and conditions is decisive for their interpretation.

Article 21. Applicable law and choice of forum

1. Only Dutch law applies. The Vienna Sales Convention is expressly excluded.

2. Disputes will be settled exclusively by the competent court in the district where Baton Music is established. Baton Music also has the right to bring the matter before the competent court of the other party's place of residence or establishment.

  • de prijs inclusief belastingen;
  • de eventuele kosten van aflevering;
  • de wijze waarop de overeenkomst tot stand zal komen en welke handelingen daarvoor nodig zijn;
  • het al dan niet van toepassing zijn van het herroepingsrecht;
  • de wijze van betaling, aflevering of uitvoering van de overeenkomst;
  • de termijn voor aanvaarding van het aanbod, dan wel de termijn voor het gestand doen van de prijs;
  • de hoogte van het tarief voor communicatie op afstand indien de kosten van het gebruik van de techniek voor communicatie op afstand worden berekend op een andere grondslag dan het basistarief;
  • indien de overeenkomst na de totstandkoming wordt gearchiveerd, op welke wijze deze voor de consument te raadplegen is;
  • de wijze waarop de consument voor het sluiten van de overeenkomst van door hem niet gewilde handelingen op de hoogte kan geraken, alsmede de wijze waarop hij deze kan herstellen voordat de overeenkomst tot stand komt;
  • de eventuele talen waarin, naast het Nederlands, de overeenkomst kan worden gesloten;

  • c. de informatie over bestaande service na aankoop en garanties;
  • d. de in artikel 4 lid 3 van deze voorwaarden opgenomen gegevens, tenzij de ondernemer deze gegevens al aan de consument heeft verstrekt vóór de uitvoering der overeenkomst;

Artikel 16 Aanvullende of afwijkende bepalingen
